PURPOSE: To receive, disburse and administer funds for charitable, civic and educational purposes which will promote the ideals of Rotary.
MEMBERS: The members of the Foundation are the members of the Fountain Hills Rotary Club.
ANNUAL MEETING: The annual meeting of the members is to be held immediately following the annual business meetings of the Fountain Hills Rotary Club in the month of December of each year. At the annual meeting, members shall elect a board of directors.
FISCAL YEAR: The fiscal year of the foundation begins on the first day of July and ends on the last day of June of each year.
BOARD OF DIRECTORS: Consists of not less than six (6) nor more than nine (9) members. Board members serve a term of three (3) years, with one third of the directors elected each year. The maximum number of terms that a director may serve continuously is two terms.
POWER AND DUTIES OF BOARD:
1. Hold meetings at such times and places as it deems proper.
2. Appoint committees on particular subjects for the members of
the Board.
3. Audit bills and disburse the funds of the corporation.
4. Print and circulate documents, publish articles, and otherwise
create publicity for the corporation's work.
5. Carry on correspondence and communicate with other associations
interested in promoting purposes similar to that of the corporation.
6. Employ agents, and
7. Do any and all other acts and things which it may decree necessary
or appropriate to promote the objectives of the corporation.
MEETINGS OF BOARD: In addition to the annual meeting, regular meetings of the board of directors should be held not less than three (3) other times during each fiscal year.
OFFICERS: The board of directors elects or appoints the officers of the foundation,which may include chairman of the board. Any two or more offices may be held by the same person except for the offices of President and Secretary.
ADVISOR TO THE PRESIDENT: The President of the Fountain Hills Rotary Club will automatically fill this position. The advisor will have a vote in the conduct of affairs.
